Introduction
These Terms of Service ("Terms") govern your access to and use of the sankalpsutra.com website and related enquiry, consultation, and pre-engagement channels operated by Sankalpsutra Tech ("we", "us", "our").
By using our website or initiating contact with us, you agree to these Terms. If you do not agree, please do not use the website or our communication channels.
These Terms apply to our public website and general service discussions. Signed proposals, statements of work, master service agreements, invoices, and other written agreements govern actual project delivery where they apply.
Use of Website
You agree to use our website lawfully and in good faith. You must not misuse enquiry forms, published content, site infrastructure, or communication channels connected to the website.
- Do not submit false, misleading, or malicious information through forms or chat channels
- Do not attempt unauthorized access to our systems, accounts, or data
- Do not interfere with site operation, including through excessive automated requests or scraping
- Do not upload harmful files or content you do not have rights to share
- Do not use the website for unlawful, fraudulent, or abusive purposes
Services and Engagement
Sankalpsutra Tech provides software development, system architecture consulting, AI development, cloud engineering, DevOps, automation, dedicated engineering capacity, and related technology services.
Information on this website describes our capabilities and typical delivery approach. Exact deliverables, pricing, timelines, acceptance criteria, and responsibilities are governed by a separate proposal, agreement, statement of work, or invoice agreed between the parties.
Browsing the website, submitting an enquiry, or attending an introductory discussion does not by itself create a binding project engagement.
Consultation and Project Discussions
Free or paid consultations, discovery calls, architecture reviews, and planning discussions are intended to provide initial guidance, fit assessment, and indicative direction.
Unless confirmed in a signed or written agreement, consultations do not create a binding commitment to deliver specific work, timelines, or outcomes.
Any technical guidance shared during pre-engagement discussions should be validated against your environment, constraints, and formal project scope before implementation.
Proposals, Estimates, and Timelines
Budget ranges, planner outputs, guide tables, and verbal or written estimates are based on information available at the time of discussion.
Estimates may change if scope, assumptions, dependencies, integrations, compliance requirements, or priorities change after discovery or during delivery.
Indicative timelines depend on team availability, client inputs, third-party approvals, and release sequencing. Confirmed milestones are defined in the applicable proposal or agreement.
- Website content and planning tools are not binding quotes or fixed offers
- Final scope and delivery planning are confirmed after discovery where applicable
- Changes to requirements may require backlog reprioritization and revised milestone planning
Payments and Invoices
Payment terms, due dates, applicable taxes, currency, and billing milestones are defined in the applicable invoice, proposal, or agreement.
Late or missed payments may affect scheduling, access to environments, or continuation of work as stated in the relevant commercial documents.
Third-party platform fees, cloud usage, software licenses, and vendor charges are typically billed separately unless explicitly included in writing.
Client Responsibilities
Clients are responsible for providing accurate requirements, timely approvals, content, credentials, environment access, compliance inputs, and feedback needed for delivery.
- Designate decision-makers and approvers for scope, milestones, and releases
- Provide lawful use of data, content, and third-party accounts supplied to us
- Review deliverables, test outputs, and raise issues within agreed review windows
- Maintain backups and access controls for systems under your ownership
- Inform us promptly of regulatory, security, or operational constraints that affect delivery
Intellectual Property
Ownership of final project deliverables, source code, documentation, and custom work product will be governed by the applicable agreement or invoice.
Sankalpsutra Tech may retain ownership of pre-existing tools, frameworks, reusable components, templates, libraries, methodologies, and know-how unless otherwise agreed in writing.
We may reuse general skills, patterns, and non-client-specific components developed prior to or outside a specific engagement, provided no confidential client materials are disclosed.
Website content, branding, case studies, and marketing materials on sankalpsutra.com remain our property or that of our licensors unless otherwise stated.
Confidentiality
Both parties should treat confidential business, technical, financial, and project information responsibly and use it only for legitimate evaluation or delivery purposes.
Confidential information shared during discussions should not be disclosed to third parties without consent, except where required by law or as needed for delivery with appropriate safeguards.
Where required, a mutual non-disclosure agreement (NDA) may be signed before deeper technical or commercial discussions.
Third-Party Services
Projects may use third-party services such as cloud platforms, APIs, AI providers, payment gateways, CRM tools, communication platforms, hosting providers, analytics tools, or other software.
Sankalpsutra Tech is not responsible for outages, pricing changes, policy changes, feature deprecations, or usage limitations imposed by third-party vendors.
Your use of third-party services may be subject to separate vendor terms, privacy policies, and compliance obligations.
- Cloud and SaaS platform availability and billing are controlled by the vendor
- API and AI provider model behavior, quotas, and pricing may change without notice
- Client accounts, licenses, and vendor approvals are typically maintained under client or jointly agreed ownership
AI, Automation, and Software Outputs
AI-generated, automated, or software-generated outputs may contain errors, omissions, or outdated information. Outputs should be reviewed before business, legal, financial, medical, compliance, or customer-facing use.
Clients remain responsible for how outputs are used in production, customer communications, and regulated contexts unless otherwise agreed in writing.
We design systems with appropriate human review, logging, and safeguards where required, but final business use decisions rest with the client unless a written agreement states otherwise.
No Guarantee of Business Results
Sankalpsutra Tech does not guarantee revenue, funding, sales, search ranking, platform approval, customer acquisition, uptime of client-owned channels, or other business outcomes.
Technical delivery aims to meet agreed specifications and quality standards in the applicable contract. Market, regulatory, and commercial results depend on factors outside our control.
Limitation of Liability
To the maximum extent permitted by applicable law, Sankalpsutra Tech and its directors, employees, and affiliates shall not be liable for indirect, incidental, consequential, special, or business loss arising from use of the website or services, including lost profits, lost data, or loss of goodwill.
Where liability cannot be excluded, it is limited to the maximum extent permitted by law and, for website use, may be further limited as stated in any applicable signed agreement.
Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the fullest extent permitted by applicable law.
Termination
Either party may terminate an engagement in accordance with the termination, notice, and payment provisions in the applicable agreement, proposal, or invoice.
Termination does not affect accrued payment obligations, confidentiality duties, or ownership terms that survive termination as stated in the relevant documents.
We may suspend website access or communication channels if misuse, security risk, or unlawful activity is detected.
Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless a separate written agreement between the parties states otherwise.
Disputes relating to these website Terms may be subject to the courts of competent jurisdiction in India, unless mandatory law or a signed agreement requires a different forum.
Changes to These Terms
Sankalpsutra Tech may update these Terms from time to time. The "Last updated" date at the top of this page indicates when they were last revised.
The latest version will be published on this page. Continued use of the website after changes constitutes acceptance of the updated Terms, except where applicable law requires additional notice.
